 THE EXECUTIVE COMMITTEE HAS ADOPTED THESE INTERIM
CHAPTER BY‑LAWS PENDING APPROVAL BY THE GENERAL MEMBERSHIP
By‑Laws of the Rock Island Arsenal Chapter
Association of the United States Army

ARTICLE I. TITLE

 This organization shall be known as the Rock Island Arsenal Chapter of the Association of the United States Army.

ARTICLE II. AIMS AND OBJECTIVES

 The aims and objectives of the Rock Island Arsenal Chapter of the Association of the United States Army shall be wholly educational, literary, scientific, fostering esprit de corps, disseminations of professional knowledge, and the promotion of the efficiency of the Army components of the Armed Forces and our Country; and by local action to further the aims and objectives of the Association of the United States Army. 

ARTICLE III. REGIONAL AREA

 The regional area encompassed by the Rock Island Arsenal Chapter of the Association of the United States Army shall include the ZIP codes listed in enclosure 1, ZIP Master File Region Chancres 08 Mar. 82. 

ARTICLE IV. MEMBERSHIP

 SECTION 1. ELIGIBILITY AND CLASSES. Membership in the Rock Island Arsenal Chapter of the Association of the United States Army shall be open to all those persons residing in or with place of business in the regional areas as designated in Article III, above, and who subscribe to Article II of  these By‑Laws, and shall include General, Life and Associate memberships.  National Sustaining Member companies may not be members of this chapter. Corporate members will be affiliated with the Chapter and Corporate member designees will be enrolled as Chapter members. 

SECTION 2. TERMS OF MEMBERSHIP. Membership in the Rock Island Arsenal Chapter may remain in force so long as the member maintains current stature and meets such additional requirements of the Rock Island Arsenal Chapter as may be established by the officers and members of the Rock Island Arsenal Chapter and approved by the parent organization.

ARTICLE V. OFFICERS

SECTION 1. COMPOSITION AND ELIGIBILITY. The officers of the Rock Island Arsenal Chapter of the Association of the United States Army shall consist of: a president, a vice president, a secretary and a treasurer. Members of the Active military service, or National Guard or Reserve personnel on extended active duty, may not hold office as the president or vice‑president.

SECTION 2. EXECUTIVE COMMITTEE. The Executive Committee shall consist of the President, Vice Presidents, Secretary, Treasurer, Immediate Past President, and a military advisor (active duty). This Committee shall have the power to act in the Chapter's name in situations requiring decision before the next scheduled Chapter meeting, and will meet monthly on the third Thursday or at the call of the president.

SECTION 3. BOARD OF DIRECTORS. The Board of Directors shall be an advisory body, consisting of not more than 20 members, appointed by the Executive Committee. The President, Vice President, Secretary, and Treasurer are ex officio members of the Board of Directors. The duties of the Board shall be to conduct the business of the Chapter.

SECTION 4. STATUS AND POWERS. The officers enumerated above shall be the governing body of the Rock Island Arsenal Chapter. They shall govern in accordance with the By‑Laws of the Association of the United States Army and the By‑Laws of the Rock Island Arsenal Chapter.

SECTION 5. TERM OF OFFICE. Officers elected shall serve two year terms and may be eligible for reelection only once for a total of four years in the same position.

SECTION 6. DUTIES OF OFFICERS: 

PRESIDENT (ELECTED). The principal executive officer who presides at the general meetings and meetings of the Executive Committee, appoints any non‑elected officers and committee chairmen, and insures a sound organization and effective overall chapter program.

 

VICE‑PRESIDENT (ELECTED). Assists the President, presides in the President's absence and

is chairman of the Program Committee.

 

SECRETARY (APPOINTED). Assists the President and performs the following functions:

(1)  Keeps the chapter records.
(2)  Attends and keeps the minutes of all meetings.
(3)  Handles and is responsible for all chapter correspondence.

(4)  Reports chapter elections to National within 7 days following election. Report to include position, name, address and telephone numbers of elected officers and date officers assume duties.
(5)  Reports to National chapter meetings, activities and projects. Meeting reports are due to National not later than 15 days after a meeting.
(6)  Insures properly executed membership applications are mailed to National Headquarters within 10 days of execution through coordination with Chairman Membership Committee.
(7)  Routes correspondence and important information to the appropriate officers or committee.
(8)  Insures officers, committees and membership are kept informed on all important chapter matters.
(9)  Insures rosters are received by Membership Chairman.
 

TREASURER (APPOINTED) Assists the President and performs the following functions:
(1)  Receipt, disbursement and safeguarding of funds belonging to the chapter.
(2)  Maintenance of necessary accounting records.
(3)  Preparation and submission of annual financial statements. Timely and accurate reports are necessary for use by National in their submission to the Federal Internal Revenue Service.
(4)  Arrangements for an audit of financial records if required by National.
(5)  Maintenance of relations with banks and financial institutions with whom the chapters conduct business.
(6) Advice to the President and Executive Committee on all financial matters.
(7)  Preparation or assistance in the preparation of budgets.
(8)  Maintenance of proper insurance coverage on chapter assets and activities.
(9)  Submission of periodic financial reports to the Officers and Executive Committee.

 
     The Treasurer will submit to the Treasurer at National Headquarters, financial reports on forms supplied by National Headquarters covering a calendar year. Date of submission will be as indicated by the National Treasurer.

 SECTION 7. COMMITTEES. To be determined.

 ARTICLE VI. MEETINGS 

SECTION 1. ANNUAL MEETING. An annual meeting for the election of officers of the Chapter shall be held in the 2nd quarter of each calendar year. The officers elected will be installed in the month of June.

 SECTION 2. OTHER MEETINGS. Other meetings shall be held quarterly.

 SECTION 3. QUORUM. Twenty‑five (25) active members shall constitute a quorum for the conduct of business at a Chapter meeting.

ARTICLE VII. AMENDMENTS

These By‑Laws may be amended at any Business Meeting by a majority of those present and voting, provided advance notice of fifteen days or more of such proposed amendment has been given, and provided further, that such change must be approved by the National Association. 

ARTICLE VIII. DISSOLUTION

In the event that this Chapter shall cease for any reason, all assets remaining after all obligations have been met will be transferred to National Headquarters.
